TERMS OF SERVICE

Welcome to Kailua Trading Co., a trade name (DBA) of Supply & Demand Enterprise LLC, a Hawaii limited liability company ("Company," "we," "us," "our"). By accessing or using kailuatrading.com (the "Site") or purchasing any products from us, you ("Customer," "you") agree to be bound by these Terms of Service ("Terms"). All sales contracts, agreements, and obligations under these Terms are with Supply & Demand Enterprise LLC. If you do not agree, do not use the Site.

1. ELIGIBILITY
You must be at least 18 years old and capable of forming a binding contract to purchase from us.

2. PRODUCTS
All products are sold "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, except as required by law. Product images are for illustration only; actual products may vary slightly. We reserve the right to limit quantities, refuse orders, or correct pricing/description errors at any time.

3. NOT A MANUFACTURER
Supply & Demand Enterprise LLC and Kailua Trading Co. are independent retailers and resellers of third-party branded goods. We do NOT manufacture, formulate, produce, or repackage any product sold on the Site. Liability for product defects, labeling, ingredients, allergens, nutritional content, and regulatory compliance rests with the original manufacturer. All manufacturer warranties flow directly from the manufacturer to the customer.

4. FOOD, ALLERGEN & NUTRITION DISCLAIMER
Food products sold by Kailua Trading Co. are packaged foods sourced from third-party manufacturers. Products may contain or come into contact with: peanuts, tree nuts, soy, wheat, milk, eggs, sesame, fish, shellfish, and other allergens. Customers with allergies, sensitivities, or dietary restrictions MUST read all product packaging before consuming. Nutrition and ingredient information is provided by manufacturers and is not independently verified by us. Consume at your own risk. We expressly disclaim any liability for adverse reactions.

5. PRICING & PAYMENT
Prices are in U.S. dollars and exclude taxes and shipping unless stated. We accept payment via Shopify Payments and other listed methods. You authorize us to charge your payment method for the full order amount. We may correct pricing errors at any time, including after order placement.

6. SHIPPING & RISK OF LOSS
Risk of loss and title pass to you upon our delivery to the carrier. Shipping times are estimates, not guarantees. We are not responsible for carrier delays, lost packages once scanned by the carrier, or address errors entered by the customer.

7. RETURNS & REFUNDS
See our Return and Refund Policy. Food items are generally non-returnable for safety reasons unless damaged or defective on arrival.

8. INTELLECTUAL PROPERTY
All Site content, including logos, text, graphics, and design, is owned by or licensed to Supply & Demand Enterprise LLC (d/b/a Kailua Trading Co.) and is protected by U.S. and international IP laws. You may not copy, reproduce, or use our content without written permission.

9. ACCEPTABLE USE
You agree not to use the Site for unlawful purposes, to interfere with the Site's operation, to scrape or harvest data, or to submit false information.

10. ASSUMPTION OF RISK
You acknowledge and agree that the purchase, preparation, and consumption of food, beverage, supplement, and personal-care products carries inherent risk, including risk of allergic reaction, foodborne illness, contamination, choking, injury, or other adverse effect. You voluntarily assume all such risk to the maximum extent permitted by law.

11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Supply & Demand Enterprise LLC, Kailua Trading Co., and their respective owners, members, managers, officers, employees, contractors, agents, and affiliates ("Released Parties") shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, loss of data, business interruption, personal injury, illness, or property damage, arising from or related to the Site or any product, even if advised of the possibility. The total aggregate liability of the Released Parties for all claims arising from or related to the Site or any product shall not exceed the amount actually paid by you for the specific product giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, the foregoing limitations apply to the maximum extent permitted by law.

12. NO PERSONAL LIABILITY
You expressly agree that any claim arising out of any purchase, use of the Site, or use of any product is brought solely against Supply & Demand Enterprise LLC, and not against any individual member, manager, owner, officer, employee, contractor, or agent of the Company. Supply & Demand Enterprise LLC is a separate legal entity, and the corporate veil shall not be pierced for any obligation under these Terms except as required by law.

13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Supply & Demand Enterprise LLC, Kailua Trading Co., and the Released Parties from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of any product, (c) your violation of any law or third-party right, or (d) any content you submit to the Site.

14. GOVERNING LAW
These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.

15. DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER
Any dispute, claim, or controversy arising out of or relating to these Terms, your purchase, the Site, or any product shall be resolved EXCLUSIVELY by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with the seat of arbitration in Honolulu, Hawaii. YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, MASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING. Small-claims court actions are permitted. If any portion of this arbitration provision is found unenforceable, the remainder shall remain in effect, except that if the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

16. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Shipping Policy, Return & Refund Policy, and Legal Notice, constitute the entire agreement between you and Supply & Demand Enterprise LLC regarding the Site and any purchase, and supersede all prior agreements.

18. CHANGES TO TERMS
We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance.
