Kailua Trading Co. is a registered trade name (DBA) of Supply & Demand Enterprise LLC, a Hawaii limited liability company in good standing. Supply & Demand Enterprise LLC is the legal entity operating the brand "Kailua Trading Co." and the website kailuatrading.com (the "Site"). All contracts of sale, terms, and policies on the Site are entered into with Supply & Demand Enterprise LLC.

2. REGULATORY STATUS
Kailua Trading Co. operates as an independent retailer and reseller of third-party branded goods. We DO NOT manufacture any products sold on the Site. All regulated products (food, beverages, supplements, personal care) are manufactured and labeled by third-party manufacturers, who are solely responsible for compliance with applicable federal, state, and local laws, including those of the U.S. Food and Drug Administration (FDA), the U.S. Department of Agriculture (USDA), the Federal Trade Commission (FTC), and applicable state agencies.

3. TRADEMARKS
"Kailua Trading Co." and all related logos, marks, and trade dress used on the Site are trademarks or trade dress of Supply & Demand Enterprise LLC. All other trademarks, product names, and brand names referenced on the Site are the property of their respective owners and are used for identification and descriptive purposes only. Use of any third-party trademark does not imply endorsement, sponsorship, affiliation, or authorization.

4. COPYRIGHT
All content published on the Site, including text, images, graphics, product descriptions, and arrangement, is the copyrighted property of Supply & Demand Enterprise LLC (d/b/a Kailua Trading Co.) or its licensors, unless otherwise noted. Unauthorized reproduction, distribution, modification, or public display is prohibited.

To the maximum extent permitted by law, Supply & Demand Enterprise LLC, Kailua Trading Co., and their respective owners, officers, members, managers, employees, contractors, agents, and affiliates ("Released Parties") shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, loss of data, business interruption, personal injury, or property damage, arising out of or related to the Site or any product purchased through the Site, even if advised of the possibility of such damages. The total aggregate liability of the Released Parties for any and all claims arising from or related to the Site or any product purchased through the Site shall not exceed the amount actually paid by the customer for the specific product giving rise to the claim.

7. CORPORATE SEPARATENESS & NO PERSONAL LIABILITY
Supply & Demand Enterprise LLC is a separate legal entity from its members, managers, owners, officers, and employees. No individual member, manager, owner, officer, or employee shall have any personal liability for any obligation, contract, debt, or claim of Supply & Demand Enterprise LLC or Kailua Trading Co., except as required by law. Customers expressly agree that any claim arising out of any purchase, use of the Site, or use of any product is brought solely against Supply & Demand Enterprise LLC and not against any individual.

8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Supply & Demand Enterprise LLC, Kailua Trading Co., and the Released Parties from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these policies, (b) your misuse of any product, (c) your violation of any law or third-party right, or (d) any content you submit to the Site.

9. GOVERNING LAW & FORUM
This Legal Notice and all related policies are governed by the laws of the State of Hawaii, without regard to its conflict-of-law principles. Subject to the binding arbitration provisions in our Terms of Service, the exclusive forum for any non-arbitrable dispute is the state and federal courts located in Honolulu County, Hawaii.
